1. Document Purpose

These Terms of Service govern access to and use of the ReadinessOS platform.

ReadinessOS is an operational readiness and drill management platform designed to assist maritime professionals, vessel operators, and future fleet organizations in documenting readiness activities, managing operational scenarios, tracking corrective actions, and promoting a culture of continuous preparedness.

By accessing or using ReadinessOS, users agree to comply with these Terms of Service and all related platform policies.


2. Scope

These Terms apply to:

  • Professional user accounts
  • Vessel accounts
  • Future fleet accounts
  • Captains
  • Designated vessel operators
  • Vessel administrators
  • Founding Vessel participants
  • Closed Beta participants
  • Future Readiness Passport users
  • Visitors using public platform features

3. Definitions

For the purposes of these Terms:

ReadinessOS means the platform and its related services.

User means an individual creating a professional identity within ReadinessOS.

Vessel Account means the operational account representing a vessel.

Fleet Account means a future organizational account representing multiple vessels.

Professional Profile means the permanent professional identity associated with a user.

Readiness Passport means a future portable professional summary documenting readiness participation.


4. Eligibility

Users must have legal capacity to enter into binding agreements under applicable law.

By using ReadinessOS, users represent that the information provided during registration is accurate and complete.

Users are responsible for maintaining the accuracy of their account information.


5. Account Model

ReadinessOS operates using separate account ecosystems:

  • Professional User Accounts
  • Vessel Accounts
  • Future Fleet Accounts

Professional identity belongs to the individual.

Operational vessel data belongs to the vessel account.

Future fleet data belongs to the fleet organization.

Membership relationships connect these entities without transferring ownership.


6. Vessel Account Responsibilities

Authorized vessel administrators are responsible for:

  • Maintaining accurate vessel information
  • Managing crew assignments
  • Managing seat allocation
  • Protecting account credentials
  • Managing operational records
  • Ensuring authorized platform access

Vessel administrators remain responsible for actions performed under their vessel account.


7. Professional User Responsibilities

Professional users are responsible for:

  • Maintaining accurate profile information
  • Protecting login credentials
  • Uploading truthful documentation
  • Maintaining certificate records
  • Recording readiness participation honestly
  • Respecting platform policies

Users shall not knowingly submit false information.


8. Acceptable Use

Users may use ReadinessOS to:

  • Manage readiness programs
  • Participate in drills
  • Review scenarios
  • Record observations
  • Manage corrective actions
  • Maintain professional readiness history
  • Manage vessel readiness information
  • Participate in educational activities

Use must remain lawful and consistent with platform objectives.


9. Prohibited Use

Users shall not:

  • Submit fraudulent information
  • Upload forged documents
  • Create fictitious vessel accounts
  • Misrepresent professional identity
  • Manipulate readiness records
  • Reverse engineer platform systems
  • Circumvent subscription limits
  • Share accounts without authorization
  • Abuse AI-generated features
  • Disrupt platform operation
  • Upload malicious software
  • Violate applicable law

Violation of these Terms may result in administrative action.


10. Subscription and Founding Program

ReadinessOS may offer:

  • Trial access
  • Paid subscriptions
  • Founding Vessel subscriptions
  • Closed Beta participation
  • Promotional pricing
  • Future enterprise subscriptions

Subscription structures and pricing may evolve over time.

Founding benefits remain subject to the Founding Vessel Program Terms.


11. Platform Availability

ReadinessOS is provided on an "as available" basis.

The platform may experience:

  • Maintenance
  • Upgrades
  • Downtime
  • Performance interruptions
  • Feature modifications
  • Service discontinuation

ReadinessOS does not guarantee uninterrupted availability.


12. User-Generated Content

Users retain ownership of information they upload, including:

  • Professional records
  • Certificates
  • Vessel documents
  • Observations
  • Corrective actions
  • Uploaded files
  • Professional summaries

By submitting content, users grant ReadinessOS a limited, non-exclusive license to store, process, display to authorized users, and utilize such information for platform functionality.

Ownership is not transferred to ReadinessOS.


13. Operational Disclaimer

ReadinessOS is an operational readiness support platform.

The platform assists with documentation, organization, and readiness engagement.

ReadinessOS does not replace:

  • Captain judgment
  • Company procedures
  • Safety Management Systems
  • Regulatory compliance
  • Flag State requirements
  • Classification society requirements
  • STCW obligations
  • SOLAS obligations
  • MARPOL obligations
  • Professional maritime decision-making

Users remain solely responsible for operational decisions.


14. No Guarantee of Safety or Compliance

Use of ReadinessOS does not guarantee:

  • Vessel safety
  • Crew competence
  • Regulatory compliance
  • Successful emergency response
  • Audit success
  • Insurance compliance
  • Employment suitability
  • Professional qualifications

Platform records should not be interpreted as official regulatory documentation unless expressly stated.


15. Artificial Intelligence Features

Future versions of ReadinessOS may incorporate artificial intelligence to generate:

  • Scenario recommendations
  • Readiness insights
  • Educational summaries
  • Operational suggestions
  • Readiness trends
  • Professional summaries

AI-generated outputs are informational only.

Users remain responsible for independent professional judgment.

AI recommendations must be reviewed before operational implementation.


16. Intellectual Property

All platform software, databases, branding, interfaces, algorithms, AI systems, documentation, graphics, trademarks, and proprietary technology remain the exclusive intellectual property of ReadinessOS unless otherwise stated.

No ownership rights are transferred through platform use.


17. Suspension and Termination

ReadinessOS may suspend or terminate accounts where necessary to protect platform integrity, including cases involving:

  • Fraud
  • Misrepresentation
  • Abuse
  • Unauthorized access
  • Policy violations
  • Security concerns
  • Platform misuse

Administrative decisions may be subject to review under the Appeals and Corrections Policy where applicable.


18. Limitation of Liability

To the maximum extent permitted by applicable law, ReadinessOS shall not be liable for indirect, incidental, consequential, special, or punitive damages arising from:

  • Platform downtime
  • AI-generated recommendations
  • Data loss
  • User-generated content
  • Operational decisions
  • Service interruptions
  • Third-party integrations
  • Unauthorized account access

Users assume responsibility for their own operational decisions.


19. Indemnification

Users agree to indemnify and hold harmless ReadinessOS, its operators, affiliates, employees, contractors, and service providers from claims arising from:

  • Violation of these Terms
  • Fraudulent submissions
  • Misuse of the platform
  • Violation of applicable law
  • Infringement of third-party rights
  • Unauthorized use of uploaded content

20. Dispute Resolution

Users are encouraged to first contact ReadinessOS to resolve disputes informally.

Nothing in these Terms limits any rights available under applicable law.

Jurisdiction and governing law may be specified in future commercial agreements where applicable.


21. Relationship to Other Policies

These Terms should be interpreted together with:

Where conflicts exist regarding personal information processing, the Privacy Policy shall govern.


22. Policy Updates

ReadinessOS may revise these Terms as platform functionality, subscription models, AI capabilities, legal requirements, or business operations evolve.

Updated versions become effective upon publication unless otherwise specified.

Continued use of the platform following publication constitutes acceptance of the updated Terms where permitted by applicable law.
