1. Document Purpose

This Pricing, Billing & Subscription Policy establishes the commercial framework governing subscriptions, billing practices, seat allocation, subscription renewals, payment obligations, and pricing models applicable to ReadinessOS.

The objective of this policy is to provide transparency regarding platform subscription management while supporting future commercial growth and enterprise scalability.

2. Scope

This policy applies to:

  • Vessel subscriptions
  • Future fleet subscriptions
  • Founding Vessel subscriptions
  • Additional crew seats
  • Subscription upgrades
  • Subscription renewals
  • Billing cycles
  • Payment processing
  • Future enterprise subscriptions
  • Future marketplace subscriptions

3. Subscription Philosophy

ReadinessOS operates as a subscription-based Software-as-a-Service (SaaS) platform.

Subscriptions grant access to platform functionality and do not transfer ownership of the software, infrastructure, or intellectual property.

Subscription rights remain active only while the subscription remains in good standing.

4. Vessel Subscription

The standard vessel subscription provides operational access for a single vessel account.

Unless otherwise specified under a separate commercial agreement, a vessel subscription includes:

  • One vessel account
  • Platform administration
  • Scenario management
  • Drill management
  • Readiness analytics
  • Operational documentation
  • AI-assisted platform features where available
  • Included crew seat allocation

Subscription features may evolve over time.

5. Included Crew Seats

At the time of publication:

A standard vessel subscription includes:

Ten (10) active crew seats.

A crew seat represents an active professional user assigned to the vessel account.

Inactive users do not necessarily consume active subscription seats, subject to platform configuration.

6. Additional Crew Seats

Vessels requiring additional active users may purchase additional crew seats.

Additional seats may include:

  • Permanent seats
  • Temporary seats
  • Relief crew seats
  • Contractor seats
  • Seasonal crew seats

Pricing for additional seats shall follow the active pricing schedule published by ReadinessOS.

7. Discounted Seat Pricing

ReadinessOS may offer discounted pricing for additional seats beyond the included allocation.

At the time of publication, future pricing models may provide reduced per-seat pricing after the included seat allocation has been exceeded.

Pricing structures may change over time.

Existing commercial agreements remain governed by their applicable subscription terms.

8. Future Fleet Subscriptions

Future Fleet subscriptions may provide:

  • Multiple vessel management
  • Enterprise dashboards
  • Fleet analytics
  • Multi-vessel reporting
  • Organization administration
  • Fleet readiness monitoring
  • Enterprise API access

Fleet pricing will be published separately when enterprise functionality becomes available.

9. Founding Vessel Pricing

Approved Founding Vessel participants may receive preferential subscription pricing and benefits as described in the Founding Vessel Program Terms.

Founding pricing remains subject to:

  • Continuous active subscription
  • The qualifying account not being deleted or deactivated
  • Compliance with platform policies
  • Good standing
  • Program eligibility

Cancellation, deletion, deactivation, suspension, prolonged lapse, inappropriate use, payment abuse, fraud, misuse, or violation of ReadinessOS policies may result in loss of Founding pricing.

10. Billing Cycle

Subscriptions may be billed using:

  • Monthly billing
  • Annual billing
  • Enterprise billing
  • Promotional billing periods

Billing frequency shall be determined during subscription purchase.

11. Automatic Renewal

Unless canceled prior to renewal, subscriptions may automatically renew for successive billing periods using the payment method on file.

Users remain responsible for maintaining valid payment information.

Automatic renewal may be disabled where supported by the platform.

12. Payment Methods

ReadinessOS may accept payment through authorized payment providers.

Accepted payment methods may include:

  • Credit cards
  • Debit cards
  • Digital wallets
  • Bank transfer
  • Enterprise invoicing
  • Future payment providers

Available payment methods may vary by jurisdiction.

13. Failed Payments

If payment cannot be successfully processed, ReadinessOS may:

  • Retry payment
  • Notify the subscriber
  • Restrict premium functionality
  • Suspend subscription benefits
  • Suspend seat activation
  • Suspend enterprise features
  • Terminate subscription after reasonable notice where appropriate

Historical records may remain preserved following suspension.

14. Taxes

Published subscription prices may exclude applicable taxes unless expressly stated otherwise.

Subscribers remain responsible for any taxes, duties, or governmental charges applicable within their jurisdiction.

15. Subscription Changes

Subscribers may request:

  • Seat upgrades
  • Additional seats
  • Subscription upgrades
  • Future fleet migration
  • Billing plan changes

Changes may become effective immediately or at the next billing cycle depending upon platform configuration.

16. Cancellation

Subscribers may cancel subscriptions through available platform functionality or authorized support channels.

Cancellation terminates future billing but does not automatically generate refunds unless otherwise required by law or separate platform policy.

Access may continue until the end of the active billing period.

17. Commercial Modifications

ReadinessOS reserves the right to modify:

  • Subscription plans
  • Feature allocation
  • Included seats
  • Additional seat pricing
  • Enterprise offerings
  • Billing models
  • Promotional pricing

Existing contractual commitments remain governed by their applicable agreements.

18. Relationship to Other Policies

This policy should be interpreted together with:

  • Terms of Service
  • Refund & Cancellation Policy
  • Founding Vessel Program Terms
  • Vessel Seat Management Policy
  • Privacy Policy
  • Data Ownership Policy

Where conflicts exist regarding personal information processing, the Privacy Policy shall govern.

19. Policy Updates

ReadinessOS may revise this policy as subscription models, pricing structures, commercial offerings, or legal requirements evolve.

Updated versions become effective upon publication unless otherwise specified.
